Our Aspriom CRM Mobile App (the "App") is designed to help businesses manage their customer relationships more effectively. By downloading, installing, and using the App, you agree to the following terms and conditions (the "Terms"):
You may use the App only for lawful purposes and in accordance with these Terms. You may not use the App in any way that violates any applicable federal, state, local, or international law or regulation, or for any fraudulent or malicious purpose.
To use certain features of the App, you may need to create a user account. You must provide accurate and complete information when you create your account, and you must keep your account information up-to-date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
The App and all of its contents, including but not limited to text, graphics, images, logos, and software, are the property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of the Company's intellectual property without the Company's prior written consent.
You may be able to submit content to the App, including but not limited to text, images, and other media (collectively, "User Content"). You retain all rights in, and are solely responsible for, the User Content you submit to the App. By submitting User Content, you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, distribute, prepare derivative works of, display, and perform the User Content in connection with the App and the Company's business.
You represent and warrant that you have all rights necessary to grant the above licence and that your User Content does not violate any third-party rights or applicable laws.
You may not use the App in any way that:
THE APP IS PROVIDED ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO DOWNLOAD THE APP.
You agree to indemnify and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys' fees) arising out of or related to your use of the App, your User Content, or your violation of these Terms.
The Company reserves the right to modify, suspend, or discontinue the App at any time without notice. The Company also reserves the right to modify these Terms at any time, and your continued use of the App after such modifications shall be deemed your acceptance of the modified Terms.
The Company may terminate your access to the App at any time for any reason or no reason, without notice or liability to you.
These Terms and your use of the App shall be governed by and construed in accordance with the laws of the [state/country] without giving effect to any principles of conflicts of law. Any dispute arising out of or related to these Terms or the App shall be resolved exclusively through arbitration in accordance with the rules of the [arbitration association], and judgement upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

You may not assign these Terms, in whole or in part, without the Company's prior written consent, and any attempted assignment without such consent shall be null and void. The Company may assign these Terms, in whole or in part, without notice to you.
